The Ministry of Economy has set up a working group for changes to be made to the company law of the republic of Serbia. The law will be amended in particular to meet the requirements of the Chapter no.6 in relation to negotiating with the EU, but also to eliminate the gaps in legislation currently in force.

“It is anticipated the introduction of transnational mergers, which means that a Serbian society will be able to merge or incorporate itself into a European society or to form a new one in Serbia, or in any European country,” Dusan Vuckovic, Assistant Minister Of the economy, adding that the amendments will allow the transfer of company headquarters to a member state of the EU without major administrative problems.

The other amendments that the working group is working on, however, are aimed at ensuring greater protection for small businesses, but also a simpler form of forced liquidation. “It will go to protect minority shareholders in the compulsory acquisition phase of the actions” Mr. Vuckovic explained.
